These Terms govern your access to and use of PositionAlpha, including its website, applications, AI-assisted trading-strategy and code-generation features, and related services (collectively, the “Service”). By creating an account, clicking an acceptance control, subscribing, or using the Service where acceptance is otherwise legally effective, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use PositionAlpha

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. You may not use the Service where doing so would violate applicable law, sanctions, export controls, or restrictions that apply to you.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, “you” includes that organization.

You are responsible for ensuring that your use of PositionAlpha is lawful in your location. We may restrict access in a country or for a user category where we determine that we cannot lawfully or responsibly provide the Service.

2. What the Service does

PositionAlpha is a software tool intended to help users explore trading ideas and generate, explain, and work with trading-strategy concepts and code, including code intended for MetaTrader 4 (MQL4) and MetaTrader 5 (MQL5). Depending on the features available to you, the Service may generate complete strategy concepts, entry and exit rules, buy/sell direction, risk parameters, code, explanations, or market-related summaries.

The Service and its features may change. Features may be unavailable, limited, experimental, or discontinued. Any feature descriptions on our website or inside the Service are subject to the limitations described in these Terms.

Unless a feature expressly says otherwise, PositionAlpha does not place trades for you, connect to your brokerage account to execute trades, hold your funds, or act as your broker. You are responsible for reviewing, testing, compiling, validating, and deciding whether to use any output.

3. Important financial and trading-risk disclosure

Trading involves substantial risk and may result in the loss of some or all of your capital. Futures, options, leveraged products, foreign exchange, CFDs, and other derivatives can involve additional risks, including losses that exceed initial deposits depending on the product and account terms. Past performance does not guarantee future results.

PositionAlpha is an information and software tool. It is not a bank, broker, exchange, investment fund, or custodian. We have not represented that PositionAlpha or its operator is registered, licensed, or exempt from registration as an investment adviser, commodity trading advisor, broker, dealer, fiduciary, or portfolio manager. The legal status of a feature depends on its actual design, marketing, users, instruments, and jurisdictions; these Terms do not determine that status or waive any regulatory obligation. Because PositionAlpha can generate directional trading outputs and risk parameters for a subscription fee, we must not describe the product as legally cleared for every country until the relevant regulatory analysis is complete. Affected features or markets may need to be restricted.

AI-generated strategies, directional outputs, risk parameters, market summaries, and code may be inaccurate, incomplete, stale, unsuitable, or misleading. An output that suggests “buy,” “sell,” “long,” “short,” a position size, stop loss, take profit, or risk level is not a guarantee or a verified recommendation. It may be inappropriate for your objectives, financial circumstances, experience, risk tolerance, account size, broker, instrument, or jurisdiction.

You must independently evaluate any output and obtain qualified financial, legal, tax, or other professional advice where appropriate. Do not risk money you cannot afford to lose. Do not rely on PositionAlpha as the sole basis for a trading or investment decision.

4. AI-generated output and code

4.1 Probabilistic and unverified output

The Service uses AI systems and may use market-data or other third-party services. AI systems can produce incorrect statements, fabricated details, flawed reasoning, insecure or incomplete code, and outputs similar or identical to outputs generated for other users. Results may vary for the same request.

Unless we expressly identify a specific result as having undergone a defined test, we do not represent that generated code has been compiled, backtested, forward-tested, optimized, independently reviewed, or verified to work. A code snippet may fail to compile, behave differently from its explanation, contain logic errors, omit safeguards, or perform differently in live markets than in a test environment.

4.2 Your review and testing duties

Before using any output, you are responsible for reviewing it and, as appropriate, having a qualified developer or trading professional review it; checking syntax, logic, assumptions, data, instrument specifications, and broker rules; testing in a safe environment or demo account; evaluating realistic transaction costs, slippage, spread, latency, and execution constraints; and setting independent risk controls. Never assume that generated code includes adequate stop-loss, position-sizing, or loss-limiting protections unless you have verified those protections yourself.

You are responsible for all decisions to compile, modify, deploy, or run generated code, and for all resulting trading activity.

4.3 No promised results

We do not promise profitability, positive expectancy, a particular win rate, accuracy, a trading edge, successful compilation, uninterrupted operation, or compatibility with any broker, terminal, instrument, market, or software version. Examples, hypothetical calculations, backtests, simulations, and historical data have limitations and do not predict future performance.

4.4 User instructions and output ownership

As between you and us, and to the extent permitted by law and applicable third-party terms, you may use output generated for you through the Service. We do not promise that output is unique, protectable by intellectual-property law, free of third-party rights, or suitable for any particular purpose. You are responsible for checking whether your use of output infringes another person’s rights or breaches a third-party licence or platform rule.

Your ownership or use of generated output does not give you ownership of PositionAlpha, its underlying models, software, templates, prompts, designs, or third-party material included in or referenced by output.

5. Accounts and security

You must provide accurate information and keep it reasonably current. You are responsible for safeguarding your sign-in credentials and for activity under your account, except to the extent caused by our breach of a legal duty that cannot be excluded. Notify us promptly at admin@positionalpha.io if you suspect unauthorized access.

We may use third-party identity services, including Firebase, to authenticate users. Their services may be subject to their own terms and privacy practices.

You must not share credentials in a way that circumvents plan limits, impersonate another person, or attempt to access another user’s account.

6. Plans, prices, billing, and renewals

6.1 Plans and pricing

PositionAlpha may offer free access, usage limits, paid subscription tiers, and one-time purchases. The checkout page presented to you immediately before purchase is the controlling source for the product or plan, price, billing interval (if any), taxes, what is included, and other purchase-specific terms.

The Service has two product areas:

Bot Studio. Building and previewing a trading bot or a code conversion may be free within the usage limits shown in the Service. Unlocking a finished build for download, and receiving the AI revisions and developer-fix allowance included with that unlock, requires a one-time payment, unless the unlock is free as described below or included with Pro. The amount, currency, and inclusions shown at checkout control that purchase.
First conversion free. The first Pine Script, MQL4 or Python to MQL5 conversion you unlock on an account is free, with the same AI revisions and developer-fix allowance as a paid conversion. One free conversion per account. Bots, indicators, EA fixes and Prop Firm Shield builds are not included in this offer. We may end or change this offer for future unlocks; a conversion already unlocked under it stays unlocked.
Pro. The Pro subscription is USD $99 per month. Unless the checkout expressly says otherwise, Pro is billed monthly in advance. While your Pro subscription is active, it includes full Quant Platform market access and unlocks every Bot Studio build you make, with no per-build limit on AI revisions; each unlocked build includes the developer-fix allowance shown for that product. "Unlimited" is subject to fair use: up to 30 new builds and 60 AI revisions per account per UTC day, and we may suspend use that appears automated or abusive. Builds unlocked while you had Pro stay unlocked after Pro ends; the per-build AI-revision limit of a paid unlock then applies again. Quant at USD $100 per month is no longer offered for new purchases. An existing Quant subscription continues until you cancel or it otherwise ends under these Terms and your checkout terms; while it remains active, it receives the same access as Pro, including Bot Studio unlocks.

Applicable taxes and material limits will be shown at checkout before you purchase. For subscriptions, the checkout must clearly disclose the total amount, billing frequency, recurring nature of the payment, and material plan limits. For one-time purchases, the checkout must clearly disclose that the charge is one-time, the amount, and material inclusions. If the checkout does not match these Terms, do not complete the purchase until the discrepancy is corrected.

No annual plan is promised by these Terms.

6.2 Payment authorization

When you purchase a subscription, you authorize our payment processor, Stripe, to charge the payment method you provide for the disclosed amount, applicable taxes, and each renewal until you cancel. When you complete a one-time purchase, you authorize Stripe to charge the disclosed one-time amount and applicable taxes. Before you confirm a purchase, we will show the price, whether the charge is one-time or recurring, and material purchase terms. Keep a copy of the checkout confirmation and any receipt.

6.3 Renewal and cancellation

Your subscription renews automatically at the end of each billing period unless you cancel before the next renewal is processed. You can manage or cancel your subscription through the account/billing controls made available in PositionAlpha or the Stripe billing portal, where enabled. If you cannot access those controls, contact admin@positionalpha.io.

Cancellation stops future renewals; unless applicable law or the checkout terms require otherwise, it does not automatically refund a charge already made, and paid access normally continues until the end of the current paid period. We will not intentionally make cancellation unreasonably difficult. You remain responsible for charges incurred before cancellation takes effect.

If a payment fails, we or Stripe may retry it, request an updated payment method, limit paid features, or suspend the subscription. We may correct a genuine billing error and will provide any refund or adjustment required by law.

6.4 Taxes

Prices may exclude taxes unless the checkout says otherwise. You are responsible for taxes associated with your purchase except taxes imposed on our net income. Where we are legally required to collect taxes, they may be added to the checkout total.

6.5 Price changes

We may change future subscription prices and the prices of one-time unlocks offered for new purchases. For subscriptions, we will provide notice and obtain any consent required by applicable law before charging a changed renewal price. If you do not accept a subscription price change, you may cancel before it takes effect. A one-time unlock is charged at the price shown at that checkout; changing a listed unlock price does not change an unlock you already paid for.

7. Refunds and statutory consumer rights

We review refund requests case by case. To request a review, email admin@positionalpha.io with the account email, relevant transaction details, and a brief explanation. We may consider duplicate charges, technical failures, material service unavailability, accidental purchases, and other relevant circumstances.

Nothing in these Terms excludes or limits a refund, withdrawal, cancellation, remedy, guarantee, or other consumer right that cannot lawfully be excluded. Where mandatory law grants you a right to withdraw from an online contract, that right applies according to the applicable law and any valid statutory exception. We will not treat a general acceptance of these Terms as a substitute for any separate, express consent or acknowledgment required for immediate digital-content supply or early performance of a service.

For consumers in the European Economic Area or United Kingdom, withdrawal rights and exceptions can depend on whether the purchase is treated as a digital service or digital content, when performance begins, and what separate consent and acknowledgment were obtained. Our checkout and product flow must implement any required disclosures and controls; this section alone does not remove a statutory right.

8. Acceptable use

You may use the Service only for lawful purposes and in accordance with these Terms. You must not:

use the Service to violate laws, sanctions, exchange rules, broker terms, or third-party rights;
represent AI-generated output as independently verified, guaranteed, or authored by a person when that is misleading;
use output or the Service to commit fraud, market manipulation, or other unlawful conduct;
upload or submit content that you do not have the right to use, or that contains another person’s confidential information without authorization;
attempt to bypass authentication, subscription limits, rate limits, safety controls, or access restrictions;
reverse engineer, disrupt, overload, probe, or compromise the Service except to the extent a restriction is prohibited by law;
use automated means to scrape or extract the Service or data beyond permitted API access;
resell, redistribute, or commercially display third-party market data without the required licence;
use the Service to develop or train a competing model in a manner prohibited by applicable law, our rights, or a third-party provider’s terms; or
interfere with other users’ use of the Service.

We may investigate suspected misuse and take proportionate action, including warnings, rate limits, suspension, or termination, subject to applicable law.

9. User content and community voting

You may submit prompts, strategy descriptions, code, feedback, and other material (“User Content”). You retain rights you hold in your User Content. You grant us a non-exclusive, worldwide, limited licence to host, store, reproduce, process, and use User Content only as reasonably necessary to provide, secure, maintain, and improve the Service, comply with law, enforce these Terms, and respond to support requests. This licence ends when the content is deleted from our active systems, except for copies retained in backups, records, or where retention is legally or operationally necessary, subject to the Privacy Policy.

We do not use your prompts or generated code to train our own models unless we separately explain the proposed use and obtain any consent required by law. Our AI provider may process prompts and outputs to provide the requested generation service under its applicable commercial terms and data policies. See the Privacy Policy.

The current community feature allows users to vote on assets or asset-related items. Votes may be aggregated or displayed within the Service. Do not include sensitive personal information in a vote or related submission. We may remove votes or restrict participation to address manipulation, abuse, technical errors, or legal obligations. Voting is not investment advice, a forecast, or a promise that an asset will perform in a particular way.

10. Intellectual property and feedback

The Service, including its software, interface, branding, templates, documentation, and original content, is owned by us or our licensors and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose while you comply with these Terms.

If you provide suggestions or feedback, you permit us to use them without restriction or compensation, provided this does not override any non-waivable legal right or disclose your personal information contrary to the Privacy Policy.

11. Third-party services and data

The Service may depend on third-party services, including Firebase, Stripe, Anthropic’s Claude API, and Twelve Data. Third-party services are governed by their own terms, availability, and privacy policies. We do not control their independent operations.

Market data may be delayed, incomplete, corrected, unavailable, or subject to exchange and provider restrictions. Data access, display, redistribution, and commercial use may require separate permissions. PositionAlpha will make market data available only to the extent permitted by the applicable provider and exchange licences. Certain data, symbols, markets, display functions, and API functions may be unavailable or restricted by geography, subscription tier, exchange rules, or licence terms. You must not scrape, republish, redistribute, resell, or commercially expose market data except where the applicable licences expressly permit it.

Market-data features are subject to the permissions and licences PositionAlpha has obtained from data providers and relevant exchanges. A PositionAlpha subscription does not grant you a licence to redistribute third-party data. If a data source or feature is not available to you, do not attempt to bypass that restriction.

PositionAlpha’s future or separately offered data API, if any, may be subject to additional terms. These Terms do not promise that a B2B data API is currently available.

12. Availability, changes, and security

We aim to operate the Service responsibly, but we do not guarantee that it will be uninterrupted, error-free, secure against every threat, or available at any particular time. We may change, suspend, or discontinue features for operational, security, legal, or product reasons. Where legally required, we will provide notice or remedies.

We may apply usage limits to protect service reliability, comply with provider limits, prevent abuse, or enforce plan entitlements.

13. Suspension and termination

You may stop using the Service at any time and cancel a subscription as described above. You may request account deletion by emailing admin@positionalpha.io; see the Privacy Policy for how requests are handled.

We may suspend or terminate access where reasonably necessary because you materially breach these Terms, pose a security or legal risk, fail to pay, misuse the Service, or where we discontinue the Service. We will act in accordance with applicable law, including any required notice, opportunity to remedy, or refund.

Termination does not affect rights or obligations that arose before termination, nor provisions that by their nature should survive, including intellectual-property provisions, payment obligations, disclaimers, liability limits, indemnity, dispute provisions, and governing-law terms.

14. Disclaimers

To the maximum extent permitted by law, the Service and all outputs are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement to the extent those warranties can lawfully be disclaimed.

We do not warrant that the Service or any output will meet your requirements, be accurate or complete, be compatible with your environment, compile, be profitable, or operate without interruption or errors. Nothing in this section excludes any warranty or right that applicable law does not permit us to exclude.

15. Limitation of liability

To the maximum extent permitted by applicable law, Momentum Digital LLC and its members, managers, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; lost trading opportunities; lost data; business interruption; or trading losses arising out of or related to the Service or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid directly to us for the Service during the 12 months before the event giving rise to the claim or (b) USD $100. This is a proposed contractual cap and must not be used where it would be unlawful or unfair under applicable mandatory law.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, intentional misconduct, or other categories protected by mandatory law. Consumer rights that cannot be waived remain unaffected.

16. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Momentum Digital LLC and its personnel from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Service, your infringement of third-party rights, or your material breach of these Terms. This obligation does not apply to the extent a claim results from our own conduct for which we are legally responsible, and it does not limit any non-waivable consumer right.

17. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, excluding its conflict-of-law rules, except where mandatory consumer-protection or other non-waivable laws in your country of residence apply. Any dispute will be brought before a court of competent jurisdiction, subject to mandatory rights to bring proceedings in another court. Nothing in this section removes rights that cannot legally be waived.

18. Changes to these Terms

We may update these Terms to reflect changes in the Service, law, security, or business operations. We will update the “Last updated” date and provide notice or obtain renewed acceptance when required by law or when a material change requires it. Changes will not retroactively remove rights you already have under applicable law.

If you do not agree to a material change, stop using the affected Service and cancel any subscription before the change takes effect, subject to applicable law.
